1. Agreement to Terms
By accessing or using the services provided by Intelligent Hype LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.
2. Services
Intelligent Hype LLC provides performance marketing services, including but not limited to direct response marketing, short-form content creation, CPA/affiliate marketing management, and campaign optimization. The specific scope of services will be outlined in individual agreements with clients.
3. Client Responsibilities
Clients agree to:
- Provide accurate and complete information necessary for campaign execution
- Ensure all products, services, and offers promoted comply with applicable laws and regulations
- Respond promptly to requests for approvals or clarifications
- Pay all fees as outlined in the service agreement
4. Payment Terms
Payment terms, including fees, billing cycles, and payment methods, will be specified in individual client agreements. Late payments may result in service suspension and additional fees.
5. Intellectual Property
All creative work, strategies, and proprietary methods developed by Intelligent Hype LLC remain our intellectual property unless explicitly transferred in writing. Clients retain ownership of their brand assets, trademarks, and proprietary content provided to us.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information, trade secrets, and business strategies shared during the course of engagement.
7. Limitation of Liability
Intelligent Hype LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services. Our total liability shall not exceed the fees paid by the client in the twelve months preceding the claim.
8. Termination
Either party may terminate the service agreement with written notice as specified in the individual agreement. Upon termination, clients remain responsible for payment of services rendered.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.
10. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page. Continued use of our services constitutes acceptance of modified terms.
